Terms and Conditions

The clickgreen.com.au Website and relevant emails ("Site") is operated by ExtraCorp Pty Ltd ABN 40 091 402 327 (referred to henceforth as "ClickGreen").

Definitions:

"Daily Offset Point" is the value associated with one click on a ClickGreen promotional email. 365 ClickGreen Future Offset Points (one year) is equivalent to the carbon emissions of an average car which is offset by Greenfleet planting 17 trees. Offset Points are future offsets, meaning these offsets will occur into the future when trees are planted and they offset emissions over the course of their lifetime.

"Greenfleet" is an accredited carbon offset provider that plants trees to offset the carbon emissions of vehicles and commercial/domestic energy use.

"Promotional Email" is an email sent to a member that contains messages from third party advertisers and clicking on such an email will provide the member one ClickGreen Future Offset Point.

1. Acceptance of ClickGreen’s Terms
   By registering with ClickGreen and using the Site you agree to be bound by the Terms contained in this document and elsewhere on the Site. If you do not comply with these Terms you must terminate your membership immediately.
   
   ClickGreen reserves the right to alter these Terms without notice. Terms may also vary from time to time. You agree that by using the Site you have viewed the latest terms and conditions as at the date at the top of this document and thus have agreed to any subsequent modifications to Terms since registering with ClickGreen.
   1. Frequency of Promotional Emails
      As a ClickGreen member we will send you emails containing our logo and contact information and advertising from third parties.
      
      You will not receive more than one Promotional Email per day and in general you will receive less.
      
      You will also receive the occasional email that are not Promotional Emails that might include system updates; bulletins; administrative announcements and special requests. These emails will be sent at most monthly and will not be considered part of the daily Promotional Email limit. Members are not eligible for ClickGreen Future Offset Points for receiving or clicking on these emails.
   2. Opting out of Promotional Email
      If at any time you do not wish to receive emails from ClickGreen you must terminate your membership by following the procedure on the Site or at the bottom of every Promotional Email.
      
      You will give up any ClickGreen Future Offset Points you have been awarded during the calendar month if you terminate your membership. After terminating you will no longer be entitled to any future rewards or prizes.
   3. Advertisers’ Sites
      The links contained in the Promotional Emails will take you to websites outside of our control and thus these Terms will not apply to your using these third party websites.
   4. Your Details
      You can update your personal information by logging into the Site and changing your details.
   5. Description of Site
      ClickGreen allows its members to offset their carbon emissions by clicking on Promotional Emails sent to their registered email address. Members may be eligible to earn other ClickGreen Future Offset Points from other online activities from time-to-time.
      
      Each quarter year (or more often depending on activity), ExtraCorp pay Greenfleet Australia the total number of ClickGreen Future Offset Points issued to members during that quarter year.
2. Conditions of Membership to ClickGreen
   ClickGreen Members must agree to accept email promotions from ClickGreen. As a proviso of your membership you warrant that:
   1. The information and description of you is accurate and complete.
   2. You acknowledge that all Offset Points payments made to Greenfleet will be paid by ClickGreen. Offset Points are not convertible or transferable by members and carry no monetary value to the member nor can they accrue interest.
   3. If at the complete discretion of ClickGreen you breach these Terms, your membership will be terminated and all Offset Point will be relinquished by you.
   4. You must activate your account before you accrue Offset Points.
   5. You acknowledge that ClickGreen is not liable for any tax liabilities that you attain as a result of accumulating Offset Points.
   6. You only have one membership account.
   7. You will not breach the SPAM act or related Privacy Laws governing the use of email.
   8. You will not attempt to hack or crack the Site .To avoid abuse of the registration and refer-a-friend ClickGreen Future Offset Points, members are required to click on seven (7) Promotional Emails before their ClickGreen Future Offset Points will be paid to Greenfleet.
   ClickGreen may reject any new member application from any person with or without cause at its sole discretion.
3. Promotional Emails
   All Promotional Emails are paid for by the advertiser and do not represent an endorsement or recommendation by ClickGreen or its affiliates, directors or employees. You agree that ClickGreen will not be held responsible or liable for any part of any such transactions with advertisers.
   
   More than one ClickGreen Future Offset Point may be offered as indicated to the member for clicking on Promotional Emails or completing surveys or online forms at the complete discretion of ClickGreen. The information collected and used by this Site is governed by the ClickGreen Privacy Policy.
4. Disclaimer of Warranties
   You expressly acknowledge and agree that use of the Site is at your sole risk. The Site carries no warranty of any kind and expressly disclaims all warranties, expressed or implied, including but not limited to warranties of fitness for a particular purpose. ClickGreen does not warrant that the functions contained in the Site will meet your requirements, or that the operation of the Site will be uninterrupted or error-free, or that defects in the Site will be corrected. Furthermore, ClickGreen does not warrant or make any representations regarding the use or the results of the use of the Site or related documentation in terms of their correctness, accuracy, reliability, or otherwise. No oral or written information or advice given by ClickGreen or a ClickGreen authorised representative shall create a warranty or in any way increase the scope of this warranty. In the event the law does enforce the inclusion of implied warranties, ClickGreen’s liability will be limited to one or more of the following (a) replacement of service or supply of an equivalent service (b) repair of service (c) payment to supply equivalent services (d) payment to have the service repaired.
5. Limitation of Liability
   Except for any liability that cannot be excluded by law, ClickGreen and its agencies associated with this Site (including their respective officers, employees and agents) are not liable and do not accept responsibility for: (a) any lost, misdirected or corrupt emails or SMS messages to or from the Site; (b) any loss or damage whatsoever (including but not limited to direct, indirect or consequential loss, loss of goodwill, damages for loss of profits or other intangible losses) or personal injury suffered or sustained in connection with a members participation in the Site or the taking of a prize or otherwise relating to the conduct of the Site, however caused, including failure of the Site or incorrect or corrupt data supplied by the Site to a member; (c) any theft, unauthorised access or third party interference; (d) any tax liability incurred by a member; (e) conduct of any third party or advertiser; (f) use of availability of the Site and (g) any other issue relating to the Site.
6. Indemnification
   You indemnify us, our affiliates and our respective employees, agents, third party content providers and licensors from and against all actions, suits, claims, demands, liabilities, costs, expenses, loss and damage (including legal fees on a full indemnity basis) incurred or suffered by you as a direct or indirect consequence of using this site or your inability to use the Site.
7. Termination
   You may terminate your membership on ClickGreen at your discretion by following the process on the Site. If you terminate you will relinquish all of your Offset Points.
   
   ClickGreen reserves the right to immediately, without notice, terminate your membership, at its sole discretion or for any reason including: (i) not logging into the site for 12 months; (ii) breaching these Terms and (iii) if we conclude your conduct is detrimental to ClickGreen’s reputation of interests.
   
   If your membership is terminated you will relinquish all of your Offset Points.
8. Jurisdiction and Law
   These Terms are governed by the laws of the State of Victoria, Australia and each party submits to the exclusive jurisdiction of the Courts of that State. If any of these Terms are struck out by court the remaining Terms shall prevail.
9. Offset Provider
   Greenfleet is nominated provider of ClickGreen Future Offset Points for ClickGreen. ClickGreen reserve the right to nominate an alternative emissions offset provider at any time.
